Terms of Service
YHN Dev Side is the trade name under which Yohan Chayan provides web and software development services. These terms govern those services; by hiring them, you accept these terms in their entirety.
1. Services Offered
YHN Dev Side offers the following services:
- Custom web application development
- Custom software development
- Technical consulting and systems architecture
- Maintenance and technical support
- API and third-party service integration
- Optimization and improvement of existing applications
- Development and integration of artificial intelligence systems, including assistants, document processing and agents
2. Work Process
2.1 Quotation and Proposal
- All quotations are valid for 30 days
- Prices may vary according to project complexity
- A 50% deposit is required to start work
2.2 Development and Delivery
- Delivery times are estimated and may vary according to complexity
- Regular progress updates will be provided
- The client will have access to test versions during development
- Up to 3 rounds of minor revisions are included
3. Client Responsibilities
- Provide all necessary information and materials
- Respond to inquiries in a timely manner
- Make payments according to agreed terms
- Provide access to systems and accounts when necessary
- Review and approve deliverables within established deadlines
4. Intellectual Property
4.1 Developed Code
The source code developed specifically for the client will be transferred to the client once full payment of the project is completed.
4.2 Tools and Libraries
Third-party tools, libraries and frameworks maintain their respective licenses. Reusable components we develop may be used in future projects.
5. Payments and Billing
- Payments are made according to the agreed schedule
- Bank transfer and other agreed methods are accepted
- Late payments may generate 2% monthly interest
- Source code will not be delivered until full payment is completed
6. Warranties and Support
6.1 Functionality Warranty
We guarantee that the delivered software will function according to the agreed specifications for 30 days after final delivery. For output produced by artificial intelligence models, see section 9.2.
6.2 Post-Delivery Support
- Bug fixes at no cost during the warranty period
- Basic technical support for 30 days
- Extended support available under separate agreement
7. Limitation of Liability
Our liability is limited to the contract value. We are not responsible for indirect damages, loss of profits or business interruption. The client is responsible for maintaining backups of their data and systems.
8. Confidentiality
All client information will be treated as confidential. We will not disclose project information to third parties without express authorization, except when required by law. Processing by an artificial intelligence provider is governed by section 9.1.
9. Artificial Intelligence Services
9.1 AI Providers and Client Data
Where a project uses a hosted artificial intelligence model, part of the client's data is processed by that model's provider. This happens only with the client's prior written authorization naming the provider, which is the express authorization referred to in section 8. Where the client does not authorize a hosted provider and the project allows it, a model running on infrastructure the client controls is used instead.
9.2 AI Output
Answers, extractions and classifications produced by an artificial intelligence model may be inaccurate. The functionality warranty covers the system as built and the evaluation agreed for the project; it does not guarantee any individual output of a model. Decisions taken on the basis of that output remain the client's responsibility.
9.3 Running Costs
Artificial intelligence providers charge for use. Those charges, and the hosting the system needs, are running costs borne by the client, separate from the development fee, and are estimated with the client before the work begins.
10. Contract Termination
10.1 By the Client
The client may terminate the contract with 7 days notice. Work completed up to the termination date will be billed.
10.2 By Breach
Either party may terminate the contract for material breach by the other party, with 15 days notice to remedy the situation.
11. Modifications
These terms may be modified with prior notice. Changes will not affect ongoing projects, only future contracts.
12. Applicable Law
These terms are governed by applicable local laws. Any dispute will be resolved through mediation or arbitration before resorting to courts.
